Conversion into a European Company (SE)

The Board of SURTECO AKTIENGESELLSCHAFT has decided on 11 October 2006 to suggest converting the company with a change of form into a European Company (Societas Europaea, SE) to the Annual General Meeting on August 31, 2007. The Board has therefore prepared a conversion plan, which will be filed to the Commercial Register of the lower court (Amtsgericht) of Augsburg and published by the Register Court. It is not intended to make use of the alternative to establish a one-tier management system for the converted company by implementing a board of administration as supervisory and management organ. The company shall continue to possess a Supervisory Board and a Board in the legal form of an SE, too.
